The Securities and Exchange Board of India (Sebi) will let Category-I and-II alternative investment funds (AIFs) run a dedicated "co-investment" (CIV) scheme for accredited investors, doing away with an earlier requirement of a separate portfolio-manager licence. The rules notified on Monday are aimed at reducing compliance burden for the AIF managers.

Sebi on Wednesday said angel funds can raise capital only from accredited investors, as part of the revised framework notified by the regulator to streamline fundraising, investment and compliance norms under the alternative investment funds rules. In a circular, the regulator said angel funds, which are granted registration by Sebi, will be permitted to onboard only accredited investors, while existing funds have been given time until September 8, 2026, to align with the new regime.

The Securities and Exchange Board of India (Sebi) is mulling doing away with the priority distribution (PD) model in Alternative Investment Funds (AIFs) and introducing in the regulation pro-rata rights (based on the ratio of their commitments) for investors. AIFs are pooled investment vehicles but certain schemes have been observed to be following a differential distribution model where one class of investors, often a junior class, share loss more than the ratio of their contributions in comparison to the senior class of investors. As the senior class of investors have priority in distribution over the junior class of investors, the profit distribution is done first to these investors while they are compensated for loss out of the residual capital of junior class investors.

The industry's commitments have approached Rs 12 trillion ($140 billion), marking a 40 per cent increase over the past year. The amount raised and deployed stood at Rs 4.74 trillion ($56 billion) and Rs 4.32 trillion ($51 billion), respectively, the data shows.

The government has brought in changes to the investment pattern for non-government provident funds, and superannuation and gratuity funds, enabling them to invest up to 5 per cent in the units of Category I and Category II alternative investment funds (AIFs), subject to some caveats. The development is part of the central government's strategy to channelise domestic savings and improve their returns to attract more investment in the said sectors. At present, these funds typically invest a minimum 45 per cent in government securities, besides new instruments, such as exchange-traded funds and real estate investment funds, while a portion in equity-related instruments.
