Consumer electronics major Videocon Industries [Get Quote] has decided to diversify into generation and supply of power and mining of minerals, including coal.

"In order to derisk the business model, the company has identified power generation and trading and dealing in various minerals, including coal, required for power generation for the purpose of expansion and diversification," the company has said in a note to its shareholders.

The company has sought shareholders' approval for this diversification through a postal ballot as the present "main object clause" of the memorandum of association does not allow it to carry on business of generation and supply of power or deal in coal.

The special resolution proposed by the company indicates that it is interested in the entire power business from generation to transmission to distribution as well as trading. The resolution also seeks approval for foray into mineral as the company is planning to take on lease or acquire minerals, including coal, by taking mining rights within or outside India and trade in them in any form.

While at one place, the company has said its coal business is meant to support the power generation, the wording of the resolution indicates it is interested in mining of minerals as a business in itself.

The company has maintained it would continue to focus on its prime business segments - consumer electronics goods, home appliances and exploration of oil and natural gas. But it has stated "the proposed diversification will prove beneficial to the growth and development of the company".
