RCF announces change in management structure
Rashtriya Chemicals & Fertilizers Ltd has informed BSE that the President of India has appointed Shri S Balan, at present Director (Finance) RCF as the next Chairman and Managing Director (CMD) of RCF Ltd after the superannuation of Shri D K Varma (the present CMD) on October 31, 2002.

Salzer Controls Board to take on record order of High Court -- Chennai confirming scheme of amalgamation
Salzer Controls Ltd has informed BSE that a meeting of the Board of Directors will be held on September 28, 2002 to transact inter alia the following businesses:

Saptarishi Agro Ind allots shares to Global Green on preferential allotment basis
Saptarishi Agro Industries Ltd has informed BSE that the Committee of Directors in its meeting held on (September 13, 2002) has allotted 95,27,842 equity shares of Rs 10 each at par, aggregating to Rs 9,52,78,420 to Global Green Company Ltd (GGCL) on preferential allotment basis.
Consequent upon the aforementioned allotment of shares the shareholding of GGCL in the Company has increased from 1,57,50,535 equity shares of Rs 10/- each (64.30%) to 2,52,78,377 equity shares of Rs 10 each (71.29%).

Orchid ropes in RS Prasad for its US Generics thrust
Orchid Chemicals & Pharmaceuticals Ltd on Monday announced the induction of Mr RS Prasad as the Executive Director and Chief Operating Officer of Orchid Healthcare, its formulations division to fast-track its foray into the US and other regulated markets.

George Williamson Assam announces change in management structure
George Williamson Assam Ltd has informed BSE that at the Board Meeting of the Company held on Monday the following changes have taken place in the Board:
S K Mitra the Chairman and Managing Director of the Company has resigned from the Board with immediate effect.
P Magor has been appointed as the Chairman of the Board
A Vira the Wholetime Director of the Company has also resigned from the Board of Directors.

i-flex to develop one-stop B2B mortgage broking solution from OnePort, Australia
i-flex solutions Ltd, a leading provider of technology solutions to the financial services worldwide, on Monday announced it would develop an end to end web enabled solution for the processing of mortgages applications for OnePort, Australia. OnePort is a Citibank owned entity that brings together lenders and mortgage brokers across Australia. It currently distributes the mortgage products of RAMS Home Loans, Bluestone Mortgages and Citibank.
The solution will be implemented with brokers throughout Australia and will offer considerable improvements in transaction turnaround times, especially in cases such as conditional loan approvals. This will in turn enable the mortgage broker to offer a much higher level of service to the end customer.
As part of the project, i-flex will also deliver simulation tools that mortgage brokers can use to help customers understand how to maximize their wealth during the mortgage duration. The OnePort win provides i-flex with an ideal launching pad to establish itself in the Australia and New Zealand Markets.
"We are very excited to be working with OnePort, one of Australia's leading distributors of mortgage products. The application we are building for OnePort will give the Australian, mortgage broker community increased convenience and flexibility in their operations and add functionality to their sales process. Mukta Arts launches a subsidiary television Company
Mukta Arts Ltd on Monday announced their foray into television software with the launch of Mukta Prime'3 Teleworks Pvt Ltd. Mukta Prime'3 Teleworks is a subsidiary of Mukta Arts Ltd and commenced shooting for its first project 'Archana Aaa-Haa' on September 15. The programme will go on air from the first week of October 2002.
Speaking on the launch of the Company, Meghna Ghai, Director, Mukta Prime'3 Teleworks and in charge of the International business said, "Mukta Arts foray into television software is a well considered move and comes after a close analysis and evaluation of the dynamics of the industry. The new initiative is a part of our overall strategy to de-risk business model of Mukta Arts from the previous focus on blockbuster films alone. We have set out with an initial budget of Rs 30 million."
Mukta Prime'3 Teleworks is set to develop a number of drama series, talk shows, serials, sitcoms and Telefilms as per the requirement of today and the future. Tata Group to acquire Jardine Motors' equity in Concorde Motors
Tata Engineering & Locomotive Company Ltd has informed BSE that the Tata Group has reached an agreement with Jardine Motors to acquire its 50% stake in Concorde Motors Ltd (CML). CML is currently a joint venture of the Tata Group and Jardine Motors, in which each of the partners holds 50% of the equity and represents Tata Engineering's passenger vehicles.
The above agreement is subject to receiving the necessary statutory approvals and consents.

Wyeth Lederle to seek shareholders approval for scheme of amalgamation
Wyeth Lederle Ltd has informed BSE that the Hon'ble Bombay High Court has directed that a meeting of the equity shareholders of the Company, the Applicant be convened & held on October 07, 2002 to consider & if thought fit approve with or without modification scheme of Amalgamation proposed to be made between Geoffrey Manners & Co. Ltd. and the Company.

Update on Moser Baer FY-02 dividend
Moser Baer India Ltd has informed BSE that dividend @ 25% on pro-rata basis on the paid up equity share capital of the Company for the year 2001-02 will be payable on or before October 26, 2002 at par all over India.

Jaysynth Dyestuff India registered as Sick with BIFR
Jaysynth Dyestuff India Ltd has informed BSE that, Hon'ble BIFR (Board) have registered the Company as 'Sick' in terms of Sec 3(i)(o) of SICA, 1985.
ICICI Bank Ltd, is appointed as the Operating Agency (OA) u/s 17(3) of SICA, 1985.
The Board has also ordered that the Company is required to submit comprehensive proposal to OA, within four weeks.
The OA should submit its report to the Board within four weeks thereafter.
OA should intimate the Board if Company failed to submit its proposal.
On receipt of intimation from OA Board will consider other alternatives with a view to rehabilitate the Company including change of management of the Company.
The Board has fixed March 31, 2003 as the cut-off date.

Punjab National Bank clarifies on news item
With reference to the news article appearing in a leading financial daily titled "PNB to take over Nedungadi Bank" Punjab National Bank has informed BSE that Reserve Bank of India has suggested the bank to consider the possibility of merger/take over of Nedungadi Bank with the Bank. The matter is being examined by the Bank internally.
The Management Committee desired that a detailed note be placed to the Board of Directors on the matter.

Infosys allots Stock Options/ADS linked Stock Options under Stock Option Plan
Infosys Technologies Ltd has informed BSE that the Compensation Committee of Board of Directors of the Company met on September 13, 2002 and transacted the following business:
Allocated an aggregate of 106,600 Stock Options under the 1999 Stock Option Plan exercisable for equity shares and a total of 53,400 ADS linked Stock Options under the 1998 ADS Stock Option Plan exercisable for ADSs to the employees of the Company, who were found eligible.

BSE revises special margin on 81 scrips
