Hardcastle fixes record date pursuant to scheme of arrangement
BSE has informed its members that Hardcastle and Waud Mfg Co Ltd has fixed December 13, 2002 as record date as per the scheme of arrangement between the company and equity shareholders of the company. BSE has further advised its members not to deal in the equity shares of the company with effect from November 25, 2002.

Pentagon Global fixes Book Closure for AGM and Rights Issue

BIFR sanctions rehabilitation scheme for merger of Arlem Breweries into Aurangabad Breweries
Arlem Breweries Ltd has informed BSE that The Board of Industrial and Financial Reconstruction (BIFR) has sanctioned Rehabilitation Scheme for merger of Arlem Breweries Ltd into Aurangabad Breweries Ltd, a company engaged in manufacture and sale of beer. The shares of Aurangabad Breweries Ltd are not listed on any Stock Exchange.
The company further informed BSE that conditions stipulated in the order (other that issuance of 12.5% Redeemable Non-cumulative Preference Shares) have been complied with.Consequent upon the merger of the company into Aurangabad Breweries Ltd the company shall stand dissolved without winding up and accordingly shall stand de-listed from the Stock Exchange (BSE).

Marico Industries to seek members' approval for re-organisation of reserves and amendment of MOA & AOA
Marico Industries Ltd has informed BSE that the EGM of the Company is scheduled to be held on December 03, 2002 to consider the following:
1. Amendment to Memorandum of Association
2. Amendment to Articles of Association.
3. Re-organisation of reserves for adjusting written down value of intangible assets.

Gujarat Mineral Development Corporation to seek members approval to borrow money up to Rs 2000 Crores
Gujarat Mineral Development Corporation Ltd has informed BSE that an Extraordinary meeting of the shareholders of the company is scheduled on November 11, 2002 at the registered office of the company to give authority to the Board of Directors of the company to borrow money upto Rs 2000 crores from various nationalised banks / financial institutions including Power Finance Corporation for the purpose of 250 MW Lignite based Akrimota Thermal Power Station at Nani Chher, Taluka Lakhpat, District Kutch.

Skol Breweries members approve de-listing of the Equity Shares of Company from BSE
Skol Breweries Ltd has informed BSE that at the EGM held on October 21, 2002 the shareholders have approved to increase the share capital from Rs.40 crores to Rs.50 crores.
The Company further informed BSE that the members of the company authorised the Board of Directors to offer, issue and / or allot on a preferential basis to promoter group companies, namely Shaw Wallace Breweries Ltd., the holding company,, Shaw Wallace Distilleries Ltd., Shaw Wallace Financial Services Ltd., and Maharashtra Distilleries Ltd., subject to their consent and acceptance being obtained, of 2,06,00,000 equity shares of the company of the face value of Rs.10/- each at a premium of Rs.10/- each, for cash or for consideration other than cash or against adjustment of the loans, advances payable by the company.
Members also authorised the Board to take necessary action to de-list the equity shares of the company from the Stock Exchange, Mumbai.

Tata Telecom forfeits Equity Shares
Tata Telecom Ltd has informed BSE that the Board of Directors at its meeting held on October 23, 2002 had forfeited 2195 equity shares on account of calls-in-arrears.

MOS between Management and Workers Union of VST Tillers Tractors referred to Concilliation Officer
VST Tillers Tractors Ltd has informed BSE that the Memorandum of Settlement (MOS) between the Management and the Workers Union of the Company signed on October 14, 1999 for 3 years had expired on March 31, 2002. The same was due for renewal with effect from April 1,2002. Various rounds of discussions between the Management and the workers union have already been held. Despite these talks, the Management and the Workers Union were not able to come to a settlement as of date and the matter has been referred to the Concilliation Officer as per the Industrial Dispute Act on October 18,2002.

Praj Industries clarifies on news item
Praj Industries Ltd has informed BSE that with reference to a press meeting held by company's Joint Managing Director Mr Shashank Inamdar and Mr Bibb Swain, President Delta T Corporation, there were discussions between the Company and Delta T regarding later acquiring equity stake in the Company. It was confirmed by Mr Shashank Inamdar that this is too premature to talk at this stage.
